The undersigned acknowledges and agrees that this registration form and terms and conditions set out on the reverse, which the undersigned acknowledges having read, constitute a legally binding agreement between ECE Link Up HR Services Inc. and the Client.

TERMS AND CONDITIONS
THESE TERMS AND CONDITIONS, the information set forth on the face hereof, and any rate schedule attached or applicable pursuant to Section 2 below, constitute the Agreement for supply staffing services between the Client and ECE Link Up, commencing on the date of the Client’s signature on the face hereof.
1. Services - Subject to the terms and conditions of this Agreement, ECE Link Up agrees to provide temporary staff(“Supply Staff”) to Client for the fees specified in Section 2.
2. Fees - Supply Staff fees will be billed as per the attached rate schedule, any increase in rates thereafter will be advised to Client by ECE Link Up in writing at least thirty (30) days before any increase takes effect and such advice will constitute and amendment to this Agreement.
3. Payment - ECE Link Up shall invoice Client for Supply Staff fees plus all applicable taxes. The invoices submitted will be itemized statements detailing placements and are due upon receipt. ECE Link Up reserves the right to charge interest on overdue payments.
4. ECE Link Up warrants that Supply Staff shall be under contract of employment with ECE Link Up and shall be bound thereby to keep all client affairs confidential.
5. Quality Assurance - For the purpose of monitoring and providing quality assurance for the services renderedby Supply Staff, ECE Link Up management will make follow-up visits or calls on an as needed basis as mutually agreed upon by Client and ECE Link Up .
6. Timesheets - Supply Staff time sheets are available online through our ECE Link Up Connect portal. Client is responsible for verifying and e-signing off on the hours noted on the electronic timesheet.
7. Supervision/Concerns - Supervision of Supply Staff is Client’s responsibility while they are at Client’s workplace. If Client has any problem or concern with Supply Staff assigned to its workplace, it should notify ECE Link Up.
8. Health & Safety, etc. - Supply Staff are not authorized to operate any type of machinery or automotive equipment while on an assignment. Supply Staff are not authorized to handle cash, negotiables or other valuables on an assignment.
9. Overtime Rates - Overtime hours are billed at time and one half (1.5 times) the regular fee rate applicable pursuant to Section 2. Overtime hours are calculated as total daily hours in excess of eight and a half (8.5) hours.
10. Statutory Holidays - If Supply Staff are asked to work on a public holiday, the applicable fee rate will be the fee rate applicable pursuant to Section 2 plus fifty percent (50%) and you will be billed accordingly.
11. Hiring Supply Staff - If you are pleased with the services of any of our Supply Staff and you wish to hire them directly for a full-time or temporary position, you agree to pay a conversion fee to ECE Link Up, in an amount set by ECE Link Up, acting reasonably. If any of ECE Link Up Supply Staff who have been assigned through ECE Link Up is hired by you or an entity affiliated with you within six (6) months of the last authorized timesheet you agree to pay a conversion fee to ECE Link Up, in an amount set by ECE Link Up, acting reasonably.
12. Independent Contractor - ECE Link Up is an independent contractor to Client and nothing in this Agreement shall be deemed or construed to create a joint venture, partnership, agency or any other relationship between the parties. All Supply Staff placed with you by ECE Link Up shall be employees of ECE Link Up and not Client, and ECE Link Up, except as specifically provided in these Terms and Conditions, shall have sole responsibility for discharging obligations relating to such employees including, but not limited to, all contributions to Employment Insurance, Canada Pension, income tax remittances, employer health tax and other similar levies or taxes.
13. Applicable Laws - This Agreement will be governed by and construed in accordance with the laws of Ontario and the laws of Canada applicable in Ontario. This Agreement sets forth the entire understanding between the parties hereto and supersedes all prior agreements, arrangements and communications, whether oral or written, with respect to the subject matter hereof. No other agreements, representations, warranties or other matters, whether oral or written, shall bind the parties hereto with respect to the subject matter hereof except for a written amendment signed by both parties.
